INITIAL ASSESSMENT FEE AGREEMENT

TERMS OF BUSINESS

Our Formal Assessment of your application for finance is only designed to assist you to identify and evaluate the possible sources and methods of finance available.

Our Initial Assessment Fee is a non-refundable fee which is not payable on the assumption that finance will be made available.

The result of our Formal Assessment of your application is discussed with you and there is no specific format.

After an initial conversation with you discussing and analysing the proposed financial transaction on the basis of the information that you are then able to supply or which is otherwise available we will then commence our formal assessment of your application. This normally covers any or all of the following aspects:

A.	Discussing the various types of finance that might be available.
B.	Discussing the various sources of finance.
C.	Discussing the various terms which can be considered by the various lending sources in respect of the various types of finance.
D.	Discussing your personal background.
E.	Discussing your future plans and how you feel this would influence the proposed financial transaction.
F.	Discussing with you if there could be any adverse or advantageous aspects.

Our Formal Assessment in connection with the transaction discussed with you is made prior to and separate from us making any effort on your behalf to seek to arrange an Offer of Finance. Our assistance in arranging an Offer for Finance (whether conditional or otherwise) does not suggest that we are advising you of the merits of the transaction or whether or not the transaction is suitable for you. It is left to your own judgement to decide whether or not you wish to proceed with a transaction.

The above terms and conditions comprise the entire agreement between us. We do not accept any responsibility whatsoever for any statements or representations made unless these statements or representations have been confirmed in writing by a director.

CONFIRMATION OF FEES

TERMS OF BUSINESS

We confirm your instructions to seek to arrange an Offer for Finance (whether conditional or otherwise) on the property/properties and/or businesses discussed (or any property or business which you subsequently wish to substitute).

In consideration thereof our Arrangement Fee will become due and payable when an Offer for Finance (whether conditional or otherwise) is made by a lending source to whom we have introduced you whether or not the Offer for Finance is negotiated through you entirely independently of us.

Our Arrangement Fee also becomes due and payable if, as a result of our activities, you will receive improved and/or revised terms from any other lending source including your existing bankers.

Any sums paid for a business inspection fee and/or survey fee are non-refundable. These inspections and surveys will be carried out by an independent valuer and are for the exclusive purpose of the lending sources.

We would also confirm your responsibility for your own legal fees and disbursements and all legal fees, charges, fees or other deductions of whatsoever nature made by the lending source.

Our assistance in arranging an Offer for Finance (whether conditional or otherwise) does not suggest that we are advising you of the merits of the transaction or whether or not the transaction is suitable for you. It is left to your own judgement to decide whether or not you wish to proceed with a transaction.
